1. Acceptance of terms
By accessing yudilabs.com or engaging Yudi Labs ("we," "us," "our") for services, you ("Client," "you") agree to these Terms of Service. If you do not agree, please do not use the website or services.
2. Description of services
Yudi Labs provides AI automation services, including but not limited to: workflow automation, AI agent development, document automation, business process automation, automation audits, and ongoing automation care plans. Specific deliverables, timelines, and fees are defined in individual Statements of Work (SOWs) or written engagement agreements.
3. Engagements and statements of work
Each engagement is governed by a separate written SOW that defines scope, deliverables, timeline, fees, and acceptance criteria. In case of conflict between these Terms and an executed SOW, the SOW prevails for that specific engagement.
4. Intellectual property
- Client materials — All data, content, and proprietary information you provide remain yours.
- Deliverables — Custom automations and code developed specifically for your engagement are owned by you upon full payment, unless the SOW specifies otherwise.
- Yudi Labs IP — General tools, frameworks, methods, and pre-existing intellectual property used in delivery remain owned by Yudi Labs. You receive a perpetual license to use them as part of your delivered automation.
5. Confidentiality
Both parties agree to keep confidential information shared during an engagement strictly confidential and to use it only for the purposes of the engagement. This obligation survives termination of the engagement.
6. Fees and payment
Fees are stated in the applicable SOW. Unless otherwise specified, invoices are due within 14 days of issue. Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law. Yudi Labs may suspend services on accounts past due more than 30 days.
7. Warranties and disclaimers
We deliver services with reasonable skill and care consistent with professional industry standards. The website and services are otherwise provided "as is" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of liability
To the maximum extent permitted by law, Yudi Labs' total liability for any claim arising from an engagement is limited to the fees paid by the Client to Yudi Labs in the three months preceding the claim. Neither party is liable for indirect, incidental, consequential, special, or punitive damages, including lost profits.
9. Indemnification
Each party agrees to indemnify and hold the other harmless from third-party claims arising from its breach of these Terms or applicable law, subject to the limitations of liability in section 8.
10. Termination
Either party may terminate an engagement for material breach with 14 days' written notice and opportunity to cure. On termination, the Client pays for all work performed and reimbursable expenses incurred through the termination date. Sections 4, 5, 7, 8, and 9 survive termination.
11. Governing law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of laws principles. The courts of Ontario have exclusive jurisdiction over any dispute arising from these Terms.
12. Changes to these terms
We may update these Terms occasionally. Material changes will be communicated by updating the "Last updated" date and, where appropriate, by direct notice to active clients.
